UniBioOrg manufactures and supplies organic fertilizers, liquid bio-stimulants, amino acid products, and related agricultural inputs. All products listed on our website are subject to availability. We reserve the right to:

• Modify or discontinue any product or service without prior notice.
• Refuse or cancel orders in cases of suspected fraud, supply constraints, or pricing errors.
• Update product descriptions, specifications, or pricing at any time.
• Limit quantities available for purchase per customer or per order.

• Third-party logistics providers or courier delays beyond our control.
• Natural disasters, port strikes, or government-imposed restrictions.
• Incorrect or incomplete delivery addresses provided by the customer.
• Customs clearance delays for export shipments.

To the maximum extent permitted by law, UniBioOrg shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of crops, loss of profits, loss of data, or business interruption. Our total liability for any direct claim arising from these terms or our products shall not exceed the amount paid by you for the specific product or service giving rise to the claim.

10. Dealership & Distributor Terms

Dealer and distributor arrangements are governed by separate Dealership Agreements. In the absence of a signed agreement, the following general terms apply:

• Dealers may not represent themselves as employees or agents of UniBioOrg.
• Territorial exclusivity is only valid when explicitly granted in a signed agreement.
• Dealers are responsible for compliance with all local licensing and regulatory requirements for selling fertilizers.
• Resale pricing is at the dealer's discretion, subject to any minimum resale price agreements.
• Sub-dealership appointment requires prior written approval from UniBioOrg.

11. Export Terms

For international buyers, export terms (Incoterms, currency, freight arrangements) are agreed upon in writing per order. The buyer is responsible for ensuring that import of our products complies with the destination country's regulations, including phytosanitary requirements, import permits, and customs duties. We provide standard export documentation but cannot guarantee customs clearance in the destination country.

12. Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to conflict of law provisions. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

We encourage resolution of disputes through good-faith negotiation. For commercial disputes exceeding INR 5,00,000, parties agree to first attempt mediation before pursuing litigation.

13. Changes to These Terms

We reserve the right to update or modify these Terms of Service at any time. Changes take effect upon posting with a revised "Last updated" date. Your continued use of our website or services following any changes constitutes acceptance of the revised terms. For material changes, we will endeavour to provide notice via email or a site notification.
